Terms of Service

Last updated October 3, 2026

In short: 1barn is a subscription service for running a barn. You own your data; we run the software. Pay for your plan, use it lawfully, and keep your account secure. We provide the service as is, our liability is limited to what you paid us in the last year, and disputes go to arbitration in Iowa. These Terms are a contract; please read them.

1.Who we are and what this covers

These Terms of Service (the “Terms”) are an agreement between 1barn, LLC, an Iowa limited liability company (“1barn”, “we”, “us”), and the person or business that creates an account (“you”, the “Customer”). They govern your use of the 1barn web application, mobile applications, APIs, websites, and related services (together, the “Service”).

By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Privacy Policy. If you are accepting on behalf of a business, you confirm you have authority to bind it, and “you” means that business.

If you do not agree, do not use the Service.

2.Accounts and users

A Customer account (a “barn”) is created by its owner. The owner may invite other people to use the Service in connection with that barn: staff, instructors, customers (boarders, riders, and families), and vendors (“Users”). The Customer is responsible for its Users, for what they do in the Service, and for making sure they are told what information about them the Customer puts into the Service.

You must provide accurate information, keep your sign-in credentials secure, and tell us promptly at security@1barn.com if you believe an account has been compromised. You are responsible for all activity under your account, whether or not you authorized it, until you tell us.

You must be at least 18 to create a Customer account. Users who are minors may be added by a Customer only with the consent of a parent or guardian, who is responsible for their use.

3.Plans, trials, and payment

The Service is offered in subscription plans described at 1barn.com/pricing. Each plan includes the features and limits listed there at the time you subscribe.

Free trial. New barns get a free trial of the length stated at signup. A payment method is required to start it. Nothing is charged during the trial. Unless you cancel before it ends, your subscription begins automatically when the trial ends and your payment method is charged for the plan you chose, at the rate shown at signup, including any introductory rate and the full rate that follows it. We will email you before the first charge.

Billing. Subscriptions renew automatically, monthly or yearly as you chose, until cancelled. Fees are charged in advance to the payment method on file. You authorize us and our payment processor, Stripe, to charge it. Fees are stated in U.S. dollars and exclude taxes; where we are required to collect sales or similar taxes, we add them.

Changes and cancellation. You may change plans or cancel at any time from Settings. An upgrade takes effect immediately and the difference is prorated. A downgrade or cancellation takes effect at the end of the current billing period; areas not included in a lower plan close at that time. Except where the law requires otherwise, fees are non-refundable and there are no refunds or credits for partial periods, unused features, or downgrades.

Price changes. We may change prices. For an existing subscription, a price change takes effect at the next renewal after we give you at least 30 days’ notice by email. Continuing to use the Service after the change takes effect is acceptance of the new price.

Non-payment. If a charge fails, we will retry it and notify you. If it remains unpaid, we may suspend the Service for your barn until it is paid, and after a reasonable period may terminate the account under Section 10.

4.Your data

“Customer Data” is everything you and your Users put into the Service: records about horses, people, care, health, documents, signatures, messages, and the rest. As between you and us, you own your Customer Data. You give us a worldwide, non-exclusive license to host, copy, process, transmit, and display it only as needed to provide the Service to you, to keep it secure, and as otherwise permitted by these Terms and the Privacy Policy.

You are responsible for your Customer Data: for having the right to put it into the Service, for its accuracy, and for complying with laws that apply to it, including laws about the personal information of your Users. For the personal information of your Users, you are the controller and we process it on your behalf; the Privacy Policy describes how.

You can export your Customer Data from the Service while your account is active. After an account ends, we keep Customer Data for a reasonable period (ordinarily 90 days) so you can retrieve it or reactivate, then delete it, except for completed signed documents and their audit trails, which we retain as described in Section 6, and backups, which age out on their own schedule.

5.Acceptable use

You agree not to: use the Service for anything unlawful; upload content that is infringing, defamatory, or harmful; attempt to gain unauthorized access to the Service, other accounts, or our systems; probe, scan, or test the vulnerability of the Service without written permission; interfere with its operation; reverse engineer it except where the law allows; resell or sublicense it; use it to build a competing product; send spam or unsolicited messages through it; or use automated means to access it beyond the APIs we document.

We may remove content and suspend accounts that violate this section, and we are not obliged to monitor content.

6.Electronic signatures

The Service includes tools to send documents for electronic signature. You are responsible for deciding whether an electronic signature is appropriate and legally effective for a given document and for complying with laws that apply to your documents, including laws requiring particular disclosures or consent. We do not provide legal advice and make no promise that any document signed through the Service is valid, binding, or enforceable.

Completed signed documents and their audit trails (including the time, the signer’s IP address and device information, and the steps taken) are stored in write-once storage so they cannot be altered. We retain them for at least seven years from completion, or longer if the law requires, even after an account ends, because they are evidence for the parties who signed them.

7.Payments you collect through the Service

Some features let you collect money from your own customers (for example event registration fees) through your own Stripe account connected to the Service. Those payments are between you and your customers under Stripe’s terms. We are not a party to them, do not hold those funds, and are not responsible for refunds, disputes, or chargebacks on them. You are responsible for complying with Stripe’s terms and applicable payment laws.

8.The assistant and third-party AI

Some plans include an assistant that can take actions in your barn on your instruction, powered by a third-party AI model under an API key you provide. Output from AI models can be wrong. You are responsible for reviewing what the assistant does; actions it takes are taken on your behalf. Your use of the third-party AI service is subject to that provider’s terms, and charges from that provider are yours.

9.Our intellectual property

The Service, including its software, design, text, logos, and the 1barn name and marks, belongs to 1barn or its licensors and is protected by intellectual property laws. These Terms give you a limited, non-exclusive, non-transferable, revocable right to use the Service for your barn during your subscription. We keep all rights not expressly granted. If you send us feedback or suggestions, we may use them without obligation to you.

10.Term, suspension, and termination

These Terms apply from the day you create an account until the account ends. You may cancel at any time as described in Section 3. We may suspend or terminate your account, with notice where practical, if you materially breach these Terms, fail to pay, use the Service in a way that risks harm to others or to the Service, or if we are required to by law. We may also discontinue the Service or any feature on at least 60 days’ notice; if we discontinue the Service entirely, we will refund any prepaid fees for the period after the discontinuation.

On termination, your right to use the Service ends. Sections 4 (as to retrieval and retention), 6, 9, 11, 12, 13, 14, and 16 survive.

11.Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, 1BARN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA WILL NOT BE LOST. THE SERVICE IS A TOOL FOR KEEPING RECORDS AND RUNNING A BUSINESS; IT IS NOT VETERINARY, LEGAL, FINANCIAL, OR SAFETY ADVICE, AND YOU REMAIN RESPONSIBLE FOR THE CARE OF ANIMALS AND THE SAFETY OF PEOPLE AT YOUR BARN.

12.Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, 1BARN AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY. 1BARN’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO 1BARN IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS, WHICHEVER IS GREATER. These limits apply to the fullest extent the law allows; some jurisdictions do not allow some of them, in which case they apply to the extent permitted.

13.Indemnification

You will defend, indemnify, and hold harmless 1barn and its members, managers, and employees from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your Customer Data, your Users, your use of the Service in breach of these Terms or the law, documents you send for signature, or payments you collect through the Service.

14.Governing law and disputes

These Terms are governed by the laws of the State of Iowa, without regard to its conflict-of-laws rules. Before starting any formal proceeding, you agree to contact us at legal@1barn.com and work with us in good faith for 30 days to resolve the dispute.

Arbitration. Any dispute not resolved informally will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, by a single arbitrator, in Story County, Iowa, or by video at your election. Judgment on the award may be entered in any court with jurisdiction. Either party may instead bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property or confidential information.

No class actions. Disputes will be resolved only on an individual basis. You and 1barn each waive the right to bring or participate in a class, collective, or representative action, and the right to a jury trial, to the extent permitted by law.

15.Changes to the Service and these Terms

We improve the Service continuously and may add, change, or remove features. We may also update these Terms. For material changes we will give at least 30 days’ notice by email or in the Service; other changes take effect when posted with a new “last updated” date. Continuing to use the Service after a change takes effect is acceptance of it. If you do not agree, cancel before it takes effect.

16.General

These Terms and the Privacy Policy are the entire agreement between you and 1barn about the Service and replace any earlier agreement. If a provision is unenforceable, the rest remain in effect. Our not enforcing a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor to our business. Neither party is liable for delay or failure caused by events beyond its reasonable control. Notices to you go to the email on your account; notices to us go to legal@1barn.com. Nothing in these Terms creates a partnership, agency, or employment relationship.
